These Terms & Conditions ("Terms") govern your access to and use of the SpiderDog website, SEO audit platform, APIs, and related services (collectively, the "Services"). By creating an account, accessing, or using SpiderDog, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Services.

Disclaimer: These Terms are provided as a template for a software-as-a-service (SaaS) SEO audit platform. 1. Acceptance of Terms

By accessing or using SpiderDog, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding contract, and agree to comply with these Terms and all applicable local, national, and international laws and regulations. If you are using SpiderDog on behalf of a company, organisation, or other entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

SpiderDog provides automated SEO auditing, website crawling, technical reporting, and related analytics tools (the "Services"). Our platform scans URLs you submit, analyses on-page SEO factors, identifies indexing issues, evaluates performance signals, and generates reports intended to help you improve search engine visibility. SpiderDog does not guarantee specific search engine rankings, traffic improvements, or indexing outcomes. Search engine algorithms change frequently and are outside our control.

3. Eligibility and User Accounts

You must register an account to access most features. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access or security breach.

4. Acceptable Use

You may use SpiderDog only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services to crawl, audit, or analyse websites you do not own or have permission to scan;
  • Attempt to interfere with, disrupt, or gain unauthorised access to our systems, servers, or networks;
  • Reverse engineer, decompile, or disassemble any part of the Services;
  • Use automated scripts, bots, or scraping tools to extract data from SpiderDog without written consent;
  • Upload or transmit viruses, malware, or any other harmful code;
  • Violate applicable data protection laws, including GDPR, CCPA/CPRA, UK DPA, PIPEDA, LGPD, or POPIA;
  • Use the Services in any way that could damage, disable, overburden, or impair our infrastructure.

5. Subscriptions, Billing, and Refunds

SpiderDog offers Free, Starter, Pro, and custom Enterprise subscription plans. Paid plans are billed in advance on a monthly or annual basis. You authorise us to charge your selected payment method for all applicable fees. Fees are non-refundable except where required by law. You may cancel your subscription at any time through your billing page; cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing upon reasonable notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

6. Intellectual Property

SpiderDog and its licensors own all rights, title, and interest in and to the Services, including software, code, designs, trademarks, logos, and content made available through the platform, subject to the licences granted below. You retain ownership of any data, URLs, or reports you upload or generate using your account. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services during your subscription term, solely for your internal business purposes.

7. User Content and Data

You are solely responsible for any websites, URLs, data, or content you submit to SpiderDog for auditing. You represent that you have the right to analyse any website you submit and that doing so does not violate any third-party rights, terms of service, or applicable laws. We process personal data in accordance with our Privacy Policy and applicable data protection laws.

8. Data Protection and Privacy

Our collection and use of personal data is described in our Privacy Policy. Where required by law, we act as a data controller for account and billing information. Depending on your use of the Services, you may act as a data controller for any personal data contained in URLs or reports you submit. You agree to comply with your obligations under the EU General Data Protection Regulation (GDPR), UK Data Protection Act 2018, California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA), Canadian PIPEDA, Brazilian LGPD, South African POPIA, and any other applicable privacy legislation.

9. Third-Party Services and Links

The Services may integrate with or contain links to third-party websites, APIs, or payment processors. We do not control and are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SpiderDog, its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Services. Our total liability for any claim arising under these Terms shall not exceed the amount you paid to SpiderDog in the twelve (12) months preceding the claim, or one hundred US dollars (USD 100), whichever is greater, except where liability cannot be limited under applicable consumer protection laws.

11. Indemnification

You agree to indemnify, defend, and hold harmless SpiderDog and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party right.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SpiderDog's operating entity is registered, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction, except that consumers in the European Economic Area, United Kingdom, or other jurisdictions with mandatory consumer protections may also bring claims in their home courts.

14. Dispute Resolution

Before filing a claim, you agree to attempt to resolve any dispute informally by contacting us. If a dispute cannot be resolved informally within sixty (60) days, either party may pursue formal resolution. Nothing in this section prevents either party from seeking injunctive relief or bringing claims in small claims court.

15. Changes to These Terms

We may modify these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes will be notified via email or a prominent notice in the Services. Your continued use of SpiderDog after the changes become effective constitutes acceptance of the revised Terms.

16. Severability and Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SpiderDog regarding the Services.
